SUBCONTRACTOR TERMS AND CONDITIONS
Introduction
Taylors' Cotswold Construction Ltd (TCC) (we) (us) and the subcontractor (you) (they) agree to the following terms and conditions for all subcontracted works undertaken for TCC.
1. Material Storage
Subcontractors are responsible for storing their materials. TCC may agree in writing to store materials on-site; however, this agreement can be withdrawn with five working days' notice.
2. Material Removal
If subcontractors fail to remove their materials within the specified notice period of 5 working days from notice of practical completion, TCC reserves the right to remove, dispose of, or claim these materials, with associated costs passed on to the subcontractor.
3. Subcontractor Warranty Period
Subcontractors working on new build properties are expected to return to address any faults or issues for a minimum period of two years from the completion date.
4. Liability and Insurance
Subcontractors are responsible for any damage caused to the site during their works unless explicitly agreed otherwise in writing. Subcontractors must carry adequate insurance coverage, including public liability and professional indemnity, to cover any potential damages or liabilities arising from their work on-site. Proof of insurance must be provided to Taylors' Cotswold Construction Ltd (TCC) prior to the commencement of any works. This insurance must remain valid for the duration of the project, and failure to maintain or provide adequate insurance may result in suspension or termination of the subcontractor’s engagement. Any costs or damages arising due to inadequate insurance will be the responsibility of the subcontractor.
5. Self-Certified Subcontractors – Handover, Documentation, and Retention Policy
Self-Certified subcontractors engaged on the project must provide a dedicated handover and commissioning time slot of at least 1 hour to our clients upon completion of their works, ensuring a thorough explanation of the installed systems and their operation. Taylors' Cotswold Construction Ltd (TCC) will retain 5% of the quoted value of works from the final invoice until all relevant guarantees, warranties, certifications, and mandatory documentation are provided. These documents must be submitted within 30 days of the final invoice payment (less the 5% retention). Upon receipt of the required documentation, TCC will release the retained amount within 5 working days. Failure to provide the necessary documentation within the 30-day period may result in delays in releasing the retention and may result in the subcontractor incurring administrational fees from TCC.
6. Intellectual Property
All designs, plans, and documents provided by TCC remain the intellectual property of the company and may not be used or reproduced without written consent.
7. Dispute Resolution
In the event of a dispute, both parties agree to engage in mediation before pursuing any legal action. Mediation will take place with a mutually agreed third-party mediator.
8. Termination Clause
Taylors' Cotswold Construction Ltd (TCC) reserves the right to terminate the subcontractor’s contract if the subcontractor fails to perform their duties, comply with health and safety regulations, maintain adequate insurance, meet deadlines, or adhere to any other significant terms of these terms and conditions. Termination will be provided in writing, and any costs or damages incurred due to the subcontractor’s failure to comply may be deducted from any outstanding payments
