WORKS TERMS AND CONDITIONS

Introduction
Taylors' Cotswold Construction Ltd (TCC) (we) (us) and the client (you) (they) agree to the following terms and conditions for all works undertaken by TCC.


1. Scope of Works and Revisions
On larger works we will collaborate with you to develop a Scope of Works for your project, which serves as a critical tool to ensure clarity between TCC and the client. This document may be revised multiple times to accommodate feedback and adjustments. We will review and respond to your comments up to a maximum of 3-5 revisions, this will be detailed in your initial estimate. Any revisions beyond this limit will incur additional fees. Should you require further clarification or additional information at any stage, please feel free to ask.
2. Project Timeline and Extensions
TCC aims to adhere to the project timeline; however, factors outside our control (e.g., adverse weather, supply chain disruptions) may require extensions. No penalties will apply, however additional charges may be necessary if the project duration is extended. Clients will be notified in advance of any such adjustments.
3. Schedules and External Contractors
The project schedule provided by TCC is a dynamic document subject to change on a weekly basis. Changes may arise due to project progress, unforeseen circumstances, or resource availability.
Clients must confirm any booking of external contractors on their behalf with TCC before finalizing any agreement with third parties. TCC will not be responsible for any delays, additional costs, or issues arising from unapproved scheduling with external contractors.
4. Payment Terms
•    Deposit: A non-refundable deposit of 5% of the total contract value is required upon signing the contract.
•    Payment Schedule: Payments are due biweekly, 5 working days from the date of invoice. The final payment is due upon project completion and before the handover of keys or final sign-off.
•    Late Payments: Late payments will incur an interest charge of 5% above the Bank of England base rate per month on the outstanding balance. TCC reserves the right to suspend work if payments are not received according to the agreed schedule.
5. Stage Payment Plans
The stages outlined in our stage payment plan represent key milestones in the project at which we typically issue invoices. The amounts assigned to each stage include a distribution of various project costs and are not associated with the title of the stage. Additionally, the progression of work may not follow the exact order outlined in the stage payment plan.
6. Client-Induced Delays
If delays caused by the client result in the need to utilize our overrun allowance, additional charges may be applied, even if the project remains on schedule. TCC strives to complete projects ahead of schedule to maximize efficiency, and delays beyond our control negatively impact margins.
7. Site Access and Working Hours
You must ensure that TCC has clear and unrestricted access to the site during working hours, which are 07:30 to 17:00, Monday to Friday. Any delays or additional costs caused by restricted access will be charged to the client. For safety reasons, clients, their families, or visitors must avoid the construction site during working hours unless prior permission is granted.
8. Risk and Liability for Furniture and Fixtures
TCC will not assume responsibility for removing or moving furniture or fixtures unless explicitly stated in the contract or Scope of Works document. It is expected that our work area and its surroundings will be available for us to conduct our works, clean and unobstructed.
If the client requests that we move or remove furniture or fixtures, this service may be provided as a courtesy or may be chargeable. We do not accept liability for any damage to items left in work areas or moved at the client’s request.
9. Client-Supplied Materials and Fixtures
You are responsible for checking off deliveries of client-supplied materials, and TCC holds no liability for sign-off errors. Any delays caused by late deliveries of client-supplied materials may be charged. Any client-supplied lighting or fixtures that require fitting will incur an additional charge, which must be agreed upon in writing before installation. TCC will not accept liability or responsibility for any manufacturer’s faults found during or after installation.
10. Existing Feature Protection
TCC requires that any existing infrastructure, fittings, or fixtures that need to be protected or worked around during the project be disclosed and agreed upon prior to the commencement of works. This allows us to factor these considerations into our estimates accurately. If the need arises to protect or work around existing infrastructure, fittings, or fixtures that were not initially accounted for, additional charges may apply. These charges will cover the costs of protection measures and any adjustments to the scope of work required to accommodate these elements. All such changes will be communicated to the client and agreed upon in writing before proceeding.
11. Material Removal and Waste Management
An additional charge will be applied for the removal of materials from the site that are not a direct result of the works unless explicitly agreed upon in the contract.
12. Additional Works and Extras
Any additional works requested by the client during the project will be added to the existing contract if they fall within the scope of the contracted area. For works of a different nature, the terms of the existing contract and these terms and conditions will apply unless otherwise agreed. Extras added to the project scope will incur an additional preliminary fee based on the additional time required. This will be included in the additional estimate we provide for the extra works.
13. Windows and Doors Installation
Windows and doors installed by TCC will be fitted to a high standard. Protective coverings will be removed, and the units will receive a general clean to remove dust and debris. This cleaning may leave streaks on the glass, and for safety and best results, we recommend booking a professional cleaning service once the works are complete.
Unless specific instructions are given, no allowance will be made for a window board in kitchens or other wet areas, with the assumption that these areas will be tiled.
14. Floor Tolerances and Door Installation
Should the client not notify us of a specified tolerance for floor coverings, doors will be installed with standard clearance. Any required adjustments to accommodate flooring after installation will incur an additional charge.
15. Site Condition and Temporary Damage
Clients should be aware that site conditions may result in temporary damage, such as to grass or landscaping. TCC will not be responsible for the restoration of such temporary damage, as it is expected to recover naturally over time. As part of our close-down and making good service, we will spread grass seed to grassed areas to help the areas recover.
16. Building Settlement and Cracking
Building settlement is a natural process that can occur after the completion of a large construction project. As the building settles, minor cracking in walls, ceilings, and other surfaces may develop. This is a normal part of the building's adjustment to its environment and does not typically indicate structural issues. TCC does not accept repair liability for settlement-related cracking.
17. Professional Cleaning and Post-Installation Care
After the installation of windows and doors, TCC does not conduct final finish cleaning unless specifically instructed and priced for. Clients are advised to hire a competent professional for external window cleaning for the best results.
18. Permits and Approvals
It is the client's responsibility to obtain all necessary permits, approvals, and permissions required for the project unless otherwise agreed in writing. TCC is not liable for delays or additional costs resulting from the failure to obtain such permits.
19. Insurance
TCC carries public liability insurance up to £5,000,000, which covers our liability for works and activities whilst working on clients’ properties. It is the client's responsibility to ensure their property is adequately insured during the construction period. You should also inform your home insurance provider about the construction work to ensure that any risks are covered.
20. Force Majeure
TCC will not be liable for any delays or failures to complete the project due to circumstances beyond our control, including but not limited to natural disasters, pandemics, strikes, or severe weather conditions.
21. Photography and Advertising
Taylors' Cotswold Construction Ltd (TCC) reserves the right to take photographs of the project during and after completion. These photographs may be used for marketing and advertising purposes, including but not limited to our website, social media platforms, and promotional materials. We will ensure that no confidential or personally identifiable information is displayed in these images without prior written consent from the client. If you do not wish for photographs of your project to be used for such purposes, please notify us in writing before the commencement of the works.

22. Intellectual Property
All designs, plans, and documents provided by TCC remain the intellectual property of the company and may not be used or reproduced without written consent.
23. Dispute Resolution
In the event of a dispute, both parties agree to engage in mediation before pursuing any legal action. Mediation will take place with a mutually agreed third-party mediator.
24. Termination Clause
TCC reserves the right to terminate the contract if the client fails to make payments or comply with any other significant terms of the contract. Termination will be provided in writing.
